In plain terms

  • Planetarium Studio is run by one person as a sole proprietorship in Texas. These Terms are an agreement between you and that business.
  • You must be 18 or older. Keep your sign-in to yourself; you’re responsible for what happens on your account.
  • What you bring, and what the agents make for you, is yours. We use it only to run the Service for you, and we don’t use it to train AI models.
  • AI can be wrong. Review what it produces before you rely on it or share it.
  • Paid plans renew until you cancel. When an allowance runs out, AI work pauses. We don’t bill for usage you haven’t already paid for.
  • Don’t use the Service to break the law, infringe other people’s rights, mislead anyone, or get around its limits.
  • The Service is provided as is, our liability is limited, and Texas law applies.

01Agreement to these Terms

These Terms of Service (“Terms”) govern your access to and use of planetarium.studio and the Planetarium Studio applications, including Presentations and Restyle, and any related websites, features and services (together, the “Service”). The Service is operated by Planetarium Studio, a sole proprietorship based in Texas, United States (“Planetarium Studio,” “we,” “us” or “our”).

By accepting an invitation, creating an account, signing in, buying a plan or otherwise using the Service, you agree to these Terms and acknowledge our Privacy Policy, which explains how we handle personal information. If you don’t agree, don’t use the Service.

If you use the Service on behalf of an organization, you agree to these Terms for it and confirm that you have the authority to do so. “You” then includes that organization.

02Who may use the Service

You must be at least 18 years old, or the age of majority where you live if that is higher, and able to form a binding contract. You may not use the Service if you are barred from doing so under the laws of the United States or any other applicable jurisdiction, including if you are located in a country subject to comprehensive U.S. sanctions or are on a U.S. government list of restricted parties, or if we have previously ended your access for breaking these Terms.

Accounts are currently available by invitation. We may open, limit or close sign-up at any time.

03Your account

Give us accurate information and keep it up to date. Your account is for you alone: don’t share your password or let anyone else sign in as you, and use a password you don’t use anywhere else.

You are responsible for activity on your account. Tell us promptly at admin@planetarium.studio if you think someone has used it without your permission.

If an organization provides your account, for example as a seat on a business plan, that organization’s administrators may manage it, including giving and removing access.

04The Service

Planetarium Studio provides AI agents that help you research, write, design and format work, including presentations set on motion backgrounds and restyled versions of documents you upload. What is included depends on your plan.

Some features are labelled as a preview. They may be incomplete, may change and may be withdrawn, and we make no commitment that they will become generally available.

We may change, add or remove features, and we may set or change usage limits, supported file types and sizes, and the AI models that power the Service. If we make a change that materially reduces what a paid plan includes, we’ll tell you in advance where we reasonably can, and you may cancel.

05Plans and payment

Paid plans. We may offer paid plans, including monthly subscriptions, single-use passes and refills. What each plan includes, its price and its limits are described on our pricing page when you buy it, and those terms form part of these Terms.

AI allowance. Each plan includes an allowance for AI work, which is used as you use AI features. How much a task uses varies with its size and complexity. An allowance has no cash value and can’t be transferred, sold or exchanged for money except where the law requires it. Unless the pricing page says otherwise when you buy, a subscription’s allowance resets each month and any unused allowance doesn’t carry over.

No usage beyond what you’ve paid for. We don’t bill for usage beyond what your plan and any refills cover. When an allowance runs out, AI features pause until it renews or you add a refill.

Renewal and cancellation. Subscriptions renew automatically at the end of each billing period, at the price then in effect, until you cancel. By subscribing, you authorize us and our payment processor to charge your payment method at each renewal. You can cancel at any time using the controls we provide or by emailing admin@planetarium.studio. Cancellation takes effect at the end of the current billing period, and you keep access until then.

Price changes. We may change our prices. We’ll give you at least 30 days’ notice before a new price applies to your subscription, and you can cancel before it does.

Payment and taxes. Payments are handled by a third-party payment processor, and you must give it a valid payment method. If a payment fails, we may suspend paid features until it is resolved. Prices don’t include taxes unless stated, and you are responsible for any taxes that apply.

Refunds. Except where the law requires otherwise or we state otherwise when you buy, payments are non-refundable, including for partly used billing periods and unused allowance. We may choose to give refunds or extra allowance, for example after a significant outage. Nothing in these Terms limits any right you have under consumer protection laws that can’t be waived.

Free and invited access. Access we provide at no charge, including by invitation, may have limits and may be changed or ended at any time.

06Your content

“Input” means what you submit to the Service: briefs and instructions, text, images and other media, documents and themes. “Output” means what the Service generates for you from it, such as presentations and restyled documents. Together they are “Your Content.”

You own Your Content. As between you and us, you keep all rights you have in your Input, and the ownership of Output is covered under AI features and Output.

The permission you give us. You grant us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, adapt, display and otherwise use Your Content only as needed to provide, maintain, secure and support the Service for you. That includes sending it to the AI model providers that generate responses. This license ends when Your Content is deleted from the Service, except for copies held for a limited time in backups and copies we must keep by law.

What we don’t do with it. We don’t sell Your Content, we don’t use it to train AI models, and we won’t use it in our marketing without your permission. We don’t read it as part of running the Service. We access it only when you ask us to, for example for support; when needed to keep the Service secure and working; or when the law requires it.

Your responsibility. You confirm that you have the rights and permissions needed to submit Your Content and to have it processed as these Terms describe, including any personal information about other people it contains. Don’t submit information you aren’t allowed to share. The Service isn’t designed for data that needs special legal handling, so don’t use it for health records, payment card numbers, government identification numbers, passwords or similar sensitive data.

Keep copies. We work to keep the Service reliable, but we can’t promise that content will never be lost. Keep your own copies of anything important.

Removal. We may remove or disable content, or restrict an account, if we reasonably believe it breaks these Terms or the law, or to protect the Service or other people.

07AI features and Output

The Service uses machine-learning models, including models from third parties, to generate Output from your instructions. Because of how these models work:

  • Output can be wrong. It may be inaccurate, incomplete, out of date or inappropriate, even when it sounds confident. Check facts, figures, quotations and sources before you rely on it or share it.
  • Output isn’t professional advice. Don’t rely on it for legal, medical, financial or other decisions that call for a qualified professional.
  • Output may not be unique. Others may receive similar Output, and we can’t promise that Output doesn’t resemble existing material. You are responsible for how you use it, including making sure that your use doesn’t infringe anyone’s rights.

Ownership of Output. As between you and us, and to the extent the law allows, you own the Output generated for you, and we assign to you any rights we have in it. This doesn’t give you rights in the Service or in our materials that appear in Output, such as themes and motion backgrounds, which are covered under Our materials.

Model providers. To generate Output, we send the relevant parts of Your Content to AI model providers through an AI routing service. The Privacy Policy explains what is sent and how those providers may handle it. Providers’ usage policies also apply, and we may decline or stop requests that would break them.

Your own AI key. If you connect your own OpenRouter account, requests made with it are billed to you by OpenRouter and are governed by its terms and your account settings. We store your key encrypted and use it only to make the requests you ask for.

Agents act on your instructions. Review what an agent produces before you present, publish or send it.

08Acceptable use

Don’t use the Service, or help anyone else use it, to:

  • break any law or regulation, or infringe or misappropriate anyone’s intellectual property, privacy, publicity or other rights;
  • create, upload or share content that sexually exploits or endangers children, promotes violence or terrorism, harasses or threatens people, or promotes hatred against people based on protected characteristics;
  • deceive people, including by impersonating a real person or organization, passing off fabricated documents, reviews or endorsements as genuine, or spreading disinformation meant to cause harm or interfere with elections;
  • send spam, or distribute malware or other harmful code;
  • access, or try to access, other people’s accounts or data, or any part of the Service you aren’t authorized to use;
  • probe, scan or test the Service for vulnerabilities, or get around its security, sign-in, rate limits or usage limits;
  • reverse engineer, decompile or disassemble the Service, except where the law expressly allows it despite this restriction;
  • scrape, crawl or extract data or content from the Service by automated means other than the features we provide;
  • resell, sublicense, rent or provide the Service to others, or share an account, unless we agree in writing;
  • use the Service or Output to develop, train or improve AI models, or to build a product that competes with the Service;
  • interfere with the Service or place an unreasonable load on it or its infrastructure; or
  • make decisions with legal or similarly significant effects on people, such as in employment, credit, housing, insurance or healthcare, without meaningful human review.

If you think you’ve found a security issue, please tell us at admin@planetarium.studio rather than testing it further. We may investigate suspected violations, remove content, suspend or end access, and cooperate with law enforcement where appropriate.

09Our materials

The Service and everything we provide as part of it, including its software, design, themes, motion backgrounds, templates, graphics and the Planetarium Studio name and logos (“our Materials”), belong to us or our licensors and are protected by intellectual property laws. Apart from the rights these Terms expressly give you, we and our licensors keep all rights in them.

Subject to these Terms, we give you a limited, non-exclusive, non-transferable and revocable license to use the Service for your own personal or internal business purposes.

When our Materials appear in your Output, you may use, present, share, print and export that Output, including after your subscription ends. You may not extract our Materials to use on their own, redistribute or sell them as templates, backgrounds or other assets, or use them to build a competing product.

Some of our Materials include works by others, such as imagery credited to NASA and Solar System Scope, and software or fonts under open-source licenses. Those works remain subject to their own licenses, and where a license requires attribution, we provide it.

If you send us ideas or suggestions, we may use them without any obligation to you. Don’t use our name, logos or other marks without our written permission, except to refer to the Service accurately.

10Privacy

Our Privacy Policy explains what personal information we collect and how we use and share it. It forms part of how we provide the Service to you.

11Third-party services

The Service relies on, and may link to, services run by others, such as AI model providers, payment processors and the websites credited in our Materials. We aren’t responsible for third-party services, and your use of them may be subject to their own terms.

12Copyright complaints

We respect intellectual property rights. If you believe material on the Service infringes your copyright, send a notice to admin@planetarium.studio that includes:

  1. your physical or electronic signature;
  2. a description of the copyrighted work you say is infringed;
  3. a description of the material you say infringes it, with enough detail for us to find it;
  4. your name, address, telephone number and email address;
  5. a statement that you believe in good faith that the use isn’t authorized by the copyright owner, its agent or the law; and
  6. a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner’s behalf.

If we remove material in response, we’ll tell the person who submitted it, who may send a counter-notice as the U.S. Digital Millennium Copyright Act provides. Knowingly misrepresenting that material infringes can make you liable for damages. In appropriate circumstances, we end the accounts of repeat infringers.

13Suspension and termination

You may stop using the Service at any time. To close your account, email admin@planetarium.studio from the address on the account.

We may suspend or end your access if you materially or repeatedly break these Terms, if you don’t pay, if the law requires it, or if your use creates risk or possible legal exposure for us or others. Where it’s reasonable to do so, we’ll tell you why and give you a chance to fix the problem first.

We may also discontinue the Service. If we do, we’ll give you at least 30 days’ notice where we reasonably can, and we’ll refund any prepaid fees for the unused part of your current billing period.

When your account ends, your right to use the Service ends too, so export anything you want to keep beforehand. We delete Your Content after an account closes, as the Privacy Policy describes. Sections that by their nature should survive, including those on ownership, amounts already owed, disclaimers, limitation of liability, indemnification and disputes, survive the end of these Terms.

14Changes to these Terms

We may update these Terms from time to time. If a change is material, we’ll tell you by email or through the Service at least 14 days before it takes effect, unless it has to take effect sooner for legal, security or safety reasons. Updated Terms apply from their effective date. If you keep using the Service after that, you accept them. If you don’t agree, stop using the Service and cancel any plan before they take effect.

15Disclaimers

The Service and all Output are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title and non-infringement, and any warranties arising from course of dealing or usage of trade. We don’t warrant that the Service will be uninterrupted, secure or error-free, that Output will be accurate, complete or reliable, or that content will not be lost.

Some jurisdictions don’t allow certain warranties to be excluded, so some of these exclusions may not apply to you.

16Limitation of liability

To the fullest extent permitted by law, Planetarium Studio and its owner will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunity, arising out of or relating to these Terms or the Service, however caused and even if we were told they were possible. Our total liability for all claims arising out of or relating to these Terms or the Service is limited to the greater of the amount you paid us for the Service in the 12 months before the event giving rise to the claim, or US$100.

These limits apply to every theory of liability, including contract, tort and statute, even if a remedy fails of its essential purpose. They don’t limit liability that the law doesn’t allow to be limited.

17Indemnification

To the extent the law allows, you will defend, indemnify and hold harmless Planetarium Studio, its owner and its contractors against any claims, losses, liabilities, damages, costs and expenses, including reasonable attorneys’ fees, arising from Your Content, your use of the Service or Output, your breach of these Terms, or your violation of any law or of anyone’s rights. We’ll tell you about any such claim, and we may take part in the defense with counsel of our choosing.

18Governing law and disputes

These Terms, and any dispute arising out of or relating to them or the Service, are governed by the laws of the State of Texas and applicable U.S. federal law, without regard to conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods doesn’t apply.

Talk to us first. Before bringing a claim, you agree to email admin@planetarium.studio with a description of the dispute and to give us 30 days to try to resolve it informally. We’ll do the same, using the email address on your account.

Courts. If a dispute isn’t resolved, it must be brought only in the state or federal courts located in Texas, and you and we consent to the personal jurisdiction of those courts. Either of us may instead bring an individual claim in a small-claims court that has jurisdiction over it.

Nothing in this section stops either of us from seeking urgent relief, such as an injunction, to protect intellectual property or the security of the Service. If you are a consumer who lives outside the United States, you may also have the benefit of mandatory protections of the law where you live, including the right to bring proceedings in your local courts.

19General terms

Entire agreement. These Terms, the Privacy Policy and any terms shown to you when you buy a plan are the entire agreement between you and us about the Service. They replace any earlier agreement on the subject.

Severability and waiver. If any part of these Terms is found unenforceable, the rest stays in effect, and that part is enforced to the fullest extent allowed. If we don’t enforce a provision, we haven’t waived it.

Assignment. You may not transfer these Terms without our written consent. We may transfer them in connection with a merger, acquisition, reorganization or sale of all or part of the business, including to a company we form to run the Service.

Notices. We may send you notices at the email address on your account or through the Service. You agree to receive communications from us electronically, and electronic notices satisfy any requirement that notices be in writing. Send notices to us at admin@planetarium.studio.

Events beyond our control. We aren’t responsible for delays or failures caused by events beyond our reasonable control, including outages at hosting or AI providers, network failures, natural disasters, war, civil unrest, government action and labor disputes.

Export and sanctions. You will comply with U.S. export control and sanctions laws when using the Service.

No third-party beneficiaries. These Terms don’t give rights to anyone other than you and us.

Language. These Terms are written in English, and the English version controls over any translation. Headings are for convenience only.
